1. Acceptance of Terms
These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity, and Ruby Great, operating from Laixi, Qingdao, China (postal code 266000), concerning your access to and use of the website located at www.rubygreat.lol and all related services, content, and functionality offered by Ruby Great.
By accessing, browsing, or using our website or by engaging our computer systems design services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. Ruby Great provides professional computer systems design services including but not limited to: systems architecture consulting, infrastructure engineering, security architecture design, cloud and hybrid systems planning, database architecture, and performance optimization services.
The specific scope, deliverables, timeline, and pricing for any project engagement will be defined in a separate written agreement, statement of work, or service contract executed between Ruby Great and the client. These Terms of Service govern the general use of our website and serve as the baseline for all client relationships unless explicitly superseded by a signed project agreement.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.
3. Eligibility and Authority
By using our website or engaging our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are using our services on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Ruby Great reserves the right to refuse service, terminate accounts, or cancel engagements at our sole discretion if we determine that a user or organization does not meet our eligibility requirements or has provided false, inaccurate, or misleading information.
4. User Obligations and Conduct

5. Intellectual Property Rights
5.1 Ruby Great Intellectual Property
All content, materials, and deliverables created by Ruby Great including but not limited to system architecture designs, infrastructure diagrams, technical specifications, code, documentation, methodologies, tools, templates, and processes, as well as all content on our website including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software are the exclusive property of Ruby Great or its content suppliers and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws of the Peoples Republic of China and international conventions.
5.2 Client Deliverables
Upon full payment for services rendered, Ruby Great grants the client a non-exclusive, perpetual, worldwide license to use the specific deliverables produced under a project agreement for the clients internal business purposes. This license does not include the right to resell, redistribute, or sublicense the deliverables to third parties without prior written consent from Ruby Great, unless otherwise specified in the project agreement.
5.3 Trademarks
The Ruby Great name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ruby Great. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the website are the trademarks of their respective owners.
5.4 Feedback
Any suggestions, ideas, enhancement requests, recommendations, or other feedback you provide to Ruby Great regarding our services may be used by us without restriction, compensation, or attribution. You assign all rights in such feedback to Ruby Great.
6. Confidentiality
During the course of any service engagement, each party may disclose to the other certain confidential and proprietary information. Confidential Information includes all non-public information, whether disclosed orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
6.1 Confidentiality Obligations
The receiving party agrees to hold all Confidential Information in strict confidence, not to disclose it to any third party without the disclosing party's prior written consent, and to use the Confidential Information solely for the purpose of performing obligations under the applicable service agreement. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information of like nature, but in no event less than reasonable care.
6.2 Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms; (b) was lawfully in the receiving party's possession without restriction prior to disclosure; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the receiving party gives prompt notice to the disclosing party to allow a reasonable opportunity to contest such disclosure.
7. Payment Terms
All fees, payment schedules, invoicing procedures, and expense reimbursement policies for Ruby Great services will be specified in the applicable project agreement or statement of work. Unless otherwise stated in writing:
- Fees are quoted and payable in United States Dollars (USD) unless otherwise specified
- Invoices are payable within 30 calendar days from the invoice date
- Late payments accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
- Client is responsible for all applicable taxes, duties, and levies associated with the services, excluding taxes based on Ruby Greats net income
- Ruby Great reserves the right to suspend or terminate services if payment is not received within the specified timeframe
8. Disclaimer of Warranties
THE WEBSITE AND ALL SERVICES PROVIDED BY RUBY GREAT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, Ruby Great expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade.
Ruby Great makes no warranty or representation that: (a) the website or services will meet your specific requirements; (b) the website will be available on an uninterrupted, timely, secure, or error-free basis; (c) the results obtained from use of the services will be accurate, reliable, or complete; (d) any errors or defects in the services will be corrected; or (e) the website or servers are free of viruses or other harmful components.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RUBY GREAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
This limitation applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, procurement of substitute services, or any other commercial damages or losses, arising out of or related to your use of or inability to use the website or services, even if Ruby Great has been advised of the possibility of such damages.
Notwithstanding anything to the contrary contained herein, Ruby Greats total aggregate liability to you for any claims arising from or relating to these Terms or the services shall be limited to the total amount paid by you to Ruby Great during the twelve (12) month period immediately preceding the event giving rise to the claim, or one hundred United States Dollars (USD $100.00) if you have not made any payments to Ruby Great. The existence of more than one claim shall not enlarge this limit.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, Ruby Greats liability shall be limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded or limited.
10. Indemnification
You agree to defend, indemnify, and hold harmless Ruby Great, its directors, officers, employees, contractors, agents, successors, and assigns from and against any and all claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys fees and court costs, arising out of or relating to:
- Your use of or access to the website and services
- Your violation of any provision of these Terms of Service
- Your violation of any third-party right, including intellectual property rights or privacy rights
- Your violation of any applicable law, rule, or regulation
- Any content, data, or materials you submit, upload, or transmit through our services
Ruby Great reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You shall not settle any matter without the prior written consent of Ruby Great.
11. Termination
Ruby Great reserves the right to terminate or suspend your access to the website and services, with or without cause and with or without notice, effective immediately, for any reason, including but not limited to your breach of these Terms of Service.
Upon termination, your right to use the website and services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, and the governing law and dispute resolution provisions.
If you wish to terminate your relationship with Ruby Great, you may simply discontinue using our website and services. For ongoing service engagements, termination procedures will be governed by the applicable project agreement. Any prepaid fees for work not yet performed shall be refunded on a pro-rata basis, subject to any minimum charges or termination fees specified in the project agreement.
12. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of or related to these Terms or the services shall be instituted exclusively in the competent courts located in Qingdao, Shandong Province, Peoples Republic of China. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Ruby Great makes no representation that the website or services are appropriate or available for use in all locations. Those who access or use our services from other jurisdictions do so on their own initiative and are responsible for compliance with local laws, to the extent local laws are applicable.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal legal proceedings, you and Ruby Great agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the services informally. The complaining party shall send a written notice describing the nature of the dispute and the desired resolution to the other party. Both parties shall engage in good-faith discussions for a period of at least 30 calendar days from receipt of the notice before resorting to other remedies.
13.2 Mediation
If the dispute cannot be resolved through informal negotiations within the 30-day period, the parties agree to submit the dispute to mediation administered by a mutually agreed mediation institution in Qingdao, China. The mediation shall be conducted in the English language, and each party shall bear its own costs of mediation.
13.3 Arbitration
If mediation is unsuccessful, any unresolved dispute shall be finally settled by binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-current arbitration rules. The arbitration shall be conducted in Qingdao, China, by a single arbitrator appointed in accordance with CIETAC rules. The arbitration proceedings shall be conducted in English. The arbitral award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
13.4 Class Action Waiver
All claims must be brought in the parties individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Ruby Great.
14. Modifications to Terms
Ruby Great reserves the right, at our sole discretion, to modify or replace these Terms of Service at any time. When we make material changes, we will provide notice through our website or by sending an email to the address associated with your account, if applicable.
The most current version of these Terms will supersede all previous versions. By continuing to access or use our website and services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must discontinue use of the website and services immediately.
It is your responsibility to review these Terms periodically for changes. Changes that address new functions of the services or are made for legal reasons will take effect immediately.
15. Force Majeure
Ruby Great shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor shortages, telecommunications failures, internet service disruptions, power outages, epidemic or pandemic conditions, government orders or restrictions, or shortages of transportation, facilities, fuel, energy, labor, or materials.
During any force majeure event, Ruby Great will make reasonable efforts to continue providing services and to minimize the impact of such events on our clients. The time for performance of affected obligations shall be extended by a period equal to the duration of the force majeure event plus a reasonable recovery period.
16. Severability
If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent as closely as possible. If such modification is not possible, the provision shall be severed and the remaining provisions shall continue in full force and effect.
The invalidity, illegality, or unenforceability of any provision in any particular jurisdiction shall not affect the validity, legality, or enforceability of that provision in any other jurisdiction or of any other provision of these Terms.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any applicable project agreement or statement of work, constitute the entire agreement between you and Ruby Great regarding the use of our website and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
No waiver by Ruby Great of any breach or default hereunder shall be deemed a waiver of any preceding or subsequent breach or default. The headings and section titles in these Terms are for convenience only and have no legal or contractual effect.
The failure of Ruby Great to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Ruby Great.
